The Directors noted that it would be beneficial for the Corporation to make the shares of the Corporation more widely available on the stock exchange and to increase the general awareness about the Corporation and its shares in order to attract a wider range of investors. The Directors authorized and instructed the hereby elected Directors of the Corporation to take actions in order to file with the SEC for the Corporation to become a reporting company. This action shall enable the Corporation to apply to the NASD for the step-up of the shares of the Corporation on the OTC market as well as to appear on the Bloomberg Electronic Board. This action is expected to be completed by the end of the second quarter of 2000.
